TERMS AND CONDITIONS

1. ACCEPTANCE OF THESE TERMS

These Terms and Conditions (“Terms”) govern your access to and use of https://sochillpanel.com and all related dashboards, APIs, features and digital services provided by SoChillPanel (“SoChillPanel,” “we,” “us,” or “our”).

By accessing SoChillPanel, creating an account, adding funds or placing an order, you confirm that you have read, understood and agreed to these Terms.

If you do not agree to these Terms, you must not use SoChillPanel.

These Terms incorporate our:

• Privacy Policy • Delivery Policy • Payment and Refund Policy • Disclaimer • Individual service descriptions displayed when an order is placed

1. DEFINITIONS

Account means a registered SoChillPanel user account.

Account Balance means funds or credits displayed in a customer’s SoChillPanel account.

Customer, User, You or Your means any individual or organization accessing or using SoChillPanel.

Order means a request for a specific service submitted through SoChillPanel.

Services means the digital social-media marketing, website traffic, promotional, technical or related online services available through SoChillPanel.

Third-Party Platform means any social-media platform, search engine, website, application or external service associated with an order.

1. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to use SoChillPanel.

If you use SoChillPanel for a company, client or other organization, you confirm that you have authority to accept these Terms on its behalf.

You must not use SoChillPanel if applicable law prohibits you from receiving or purchasing the Services.

1. ACCOUNT REGISTRATION

You must provide accurate and current information when creating and maintaining an account.

You must not:

• Create an account using false or misleading information • Impersonate another person or organization • Create accounts to evade a suspension or restriction • Sell, transfer or share an account without our permission • Create multiple accounts for fraudulent or abusive purposes

We may request reasonable information to verify account ownership, payment authorization or suspected fraudulent activity.

1. ACCOUNT SECURITY

You are responsible for:

• Keeping your username and password confidential • Using a strong and unique password • Restricting unauthorized access to your account • Reviewing your account activity • Immediately reporting suspected unauthorized access

Actions performed through your account may be treated as authorized unless you promptly notify us of suspected compromise.

SoChillPanel will never ask for the password to your third-party social-media account. You must not submit such passwords through an order form or support ticket.

Contact legal@sochillpanel.com immediately if you believe your SoChillPanel account has been compromised.

1. DESCRIPTION OF SERVICES

SoChillPanel provides digital promotional, social-media marketing and related online services.

The specific quantity, estimated start time, estimated completion speed, refill availability and other conditions applicable to an Order are displayed in the relevant service description.

You are responsible for reviewing the full service description before ordering.

Service names and categories are provided for identification and convenience. Unless expressly stated, no service guarantees a particular commercial, algorithmic or financial outcome.

1. PLACING ORDERS

Before submitting an Order, you must verify:

• The selected service • The quantity • The price • The submitted link • The target account, page, post, video, channel or website • The estimated delivery information • Whether the service includes a refill guarantee

Orders may begin processing automatically after submission. Once processing begins, cancellation may not be technically possible.

An Order is accepted when it is confirmed by our system and the applicable amount is deducted from your Account Balance.

We may reject or cancel an Order where:

• The required information is missing or incorrect • The submitted target is private, restricted or inaccessible • The service is unavailable • The Order violates these Terms or applicable law • We reasonably suspect fraud, abuse or unauthorized activity • Fulfilment is technically impossible • The listed price or description contains a material error

Where an Order is canceled, the applicable undelivered amount will normally be returned in accordance with our Payment and Refund Policy.

1. CUSTOMER ORDER RESPONSIBILITIES

You must:

• Submit the correct and complete link • Ensure the submitted target is publicly accessible • Keep the target available while the Order is processing • Avoid changing usernames, links or privacy settings during delivery • Avoid deleting the relevant account or content • Avoid placing duplicate or overlapping orders • Avoid ordering the same service from another provider simultaneously • Follow all service-specific instructions

SoChillPanel is not responsible for a delivery problem caused by inaccurate information, an inaccessible target, overlapping orders or changes made by the customer after ordering.

This does not limit any remedy that cannot lawfully be excluded.

1. DELIVERY

All Services are delivered digitally. No physical products are shipped.

Start times and completion speeds are estimates unless expressly guaranteed in the service description.

Delivery may be affected by:

• Service demand and supplier capacity • Third-party platform availability • Platform updates, restrictions or algorithm changes • Technical interruptions • Incorrect or inaccessible links • Security and payment reviews • Events outside our reasonable control

Order statuses may include Pending, Processing, In Progress, Completed, Partial or Canceled.

Delivery terms, status definitions and procedures for reporting delivery problems are explained in our Delivery Policy.

1. STARTING COUNTS AND DELIVERY MEASUREMENT

For quantity-based Services, our systems may record the visible public count before delivery begins.

Customers must avoid placing overlapping orders or taking actions that make delivery impossible to measure accurately.

An Order marked Completed means our fulfilment system recorded the applicable Service as delivered. It does not guarantee permanent retention unless the service description expressly includes a refill guarantee.

If you reasonably believe an Order was incorrectly marked Completed, submit a support ticket with the Order number and supporting evidence.

1. DROPS AND REFILLS

Third-Party Platforms may remove, suspend or recalculate followers, views, likes, comments, subscribers or other engagement.

A refill is available only when expressly included in the service description.

Refill eligibility is subject to:

• The stated refill period • The target remaining publicly accessible • The username and link remaining unchanged • The starting count remaining verifiable • The absence of overlapping orders • Compliance with the service description and these Terms

Services marked “No Refill” do not include a refill guarantee.

A refill guarantee does not promise permanent retention after the refill period expires.

1. THIRD-PARTY PLATFORMS

SoChillPanel is an independent service and is not affiliated with, endorsed by or officially connected to any Third-Party Platform referenced on the website.

Third-Party Platforms control their own terms, algorithms, moderation systems and enforcement decisions. They may change their rules or systems without notifying SoChillPanel.

You are responsible for reviewing and complying with the rules applicable to your third-party accounts and content.

SoChillPanel cannot guarantee that a Third-Party Platform will not:

• Remove delivered engagement • Recalculate displayed statistics • Restrict content reach • Suspend or terminate an account • Remove or demonetize content • Change its eligibility requirements or algorithms

To the extent permitted by law, SoChillPanel is not responsible for independent actions taken by Third-Party Platforms outside our reasonable control.

1. PROHIBITED USE

You must not use SoChillPanel to:

• Violate applicable law or regulation • Commit fraud or facilitate deceptive financial activity • Promote unlawful goods, services or conduct • Infringe intellectual-property, privacy or publicity rights • Threaten, harass, exploit or harm another person • Promote sexual exploitation or abuse • Distribute malware or malicious code • Attempt unauthorized access to any account or system • Interfere with the website, dashboard, API or security systems • Circumvent usage limits, restrictions or suspensions • Scrape, reverse engineer or copy protected parts of SoChillPanel • Submit content you are not authorized to promote • Use stolen, unauthorized or fraudulently obtained payment methods • Abuse refunds, chargebacks, affiliate rewards, promotions or referrals • Misrepresent a relationship with SoChillPanel • Resell Services using false, unlawful or misleading claims

We may reject Orders and restrict accounts reasonably suspected of prohibited activity.

1. RESELLERS AND AGENCIES

SoChillPanel may allow customers to resell eligible Services or use them on behalf of clients.

Resellers and agencies are responsible for:

• Obtaining authorization from their clients • Providing accurate descriptions of the Services • Avoiding false or guaranteed-result claims • Providing lawful customer support • Complying with consumer-protection and advertising laws • Ensuring their customers comply with applicable requirements

SoChillPanel is not a party to agreements between a reseller and its customers.

1. API USE

API access may be provided to eligible users.

You are responsible for:

• Protecting API credentials • All requests submitted using your credentials • Following technical documentation and rate limits • Preventing unauthorized API access • Correctly mapping service identifiers and Order information

You must not use the API to overload, disrupt, probe or interfere with SoChillPanel systems.

We may change, restrict or suspend API access where reasonably necessary for security, maintenance, abuse prevention or service operations.

1. PRICING

Current prices are displayed on the website or account dashboard.

Prices may change at any time but will not retroactively change the confirmed price of an Order already accepted.

You are responsible for reviewing the displayed price before submitting an Order.

If a price or service description contains an obvious or material error, we may cancel the affected Order and return the applicable amount.

Applicable taxes or charges controlled by SoChillPanel will be disclosed where required. Banks, payment processors or cryptocurrency networks may impose separate fees outside our control.

1. PAYMENTS AND ACCOUNT BALANCES

Payments made through the Add Funds section are credited to your Account Balance after confirmation by the applicable payment provider.

A deposit is not itself an Order.

You must use only payment methods you are authorized to use.

Payments may be delayed, declined, held or reversed because of:

• Payment-provider decisions • Security checks • Regulatory requirements • Technical problems • Suspected fraud or unauthorized use

Except where required by law or expressly permitted by our Payment and Refund Policy, funds voluntarily deposited into an Account Balance are intended for purchasing Services and are not withdrawable as cash.

Promotional, bonus and affiliate credits have no cash value unless expressly stated otherwise.

1. REFUNDS AND CANCELLATIONS

Refunds, cancellations, account credits and payment reversals are governed by our Payment and Refund Policy.

In general:

• Orders that have entered processing cannot be canceled merely because the customer changed their mind • Canceled or partially delivered Orders will normally be credited to the customer’s Account Balance • Voluntary deposits are generally non-withdrawable • Refunds to the original payment method may be available for duplicate or unauthorized payments, verified technical errors, materially defective or undelivered Services that cannot be corrected, or where required by law

Nothing in these Terms excludes a mandatory consumer right or remedy.

1. CHARGEBACKS AND PAYMENT DISPUTES

If you experience a payment or delivery problem, contact us through a support ticket or at legal@sochillpanel.com so we can investigate.

Opening a chargeback does not remove either party’s legal rights.

When responding to a payment dispute, we may provide the payment provider with relevant:

• Transaction records • Account information • Login and security records • Order history and delivery evidence • Support communications • Refund and cancellation records

We may temporarily restrict an account while a payment dispute is being investigated to prevent duplicate refunds, further unauthorized use or additional losses.

We will not penalize a customer merely for making a genuine complaint or exercising a lawful consumer right.

Fraudulent chargebacks, false statements or deliberate payment abuse may result in account suspension and may be reported to the payment provider or appropriate authority.

1. SUSPICIOUS OR UNAUTHORIZED PAYMENTS

We may temporarily hold a payment or restrict an account where we reasonably suspect:

• Unauthorized payment activity • Stolen payment information • Identity or account fraud • Chargeback abuse • Money laundering or unlawful activity • A violation of payment-provider requirements

We may request reasonable verification information.

Any restriction will remain only for the period reasonably necessary to investigate, comply with payment-provider requirements or meet legal obligations.

Confirmed unauthorized payments will be handled according to applicable law, our Payment and Refund Policy and payment-provider requirements.

1. AFFILIATE AND REFERRAL PROGRAMS

Where an affiliate or referral program is available, users must not:

• Refer themselves • Create duplicate accounts • Use misleading advertisements • Send unlawful spam • Manipulate clicks, registrations, deposits or commissions • Refer users using stolen or unauthorized information • Make false claims about SoChillPanel

We may withhold commissions reasonably connected to fraud, reversals, chargebacks or prohibited activity.

We may suspend or terminate affiliate access for material violations. Users may contact support if they believe a decision was made in error.

1. SUPPORT AND COMMUNICATIONS

Support may be available through support tickets, live chat, email or other displayed channels.

When contacting support, you must:

• Provide the relevant Order or transaction number • Explain the issue accurately • Provide genuine evidence where requested • Communicate without threats, harassment or abuse

Support response and investigation times are estimates and may vary depending on complexity and demand.

By creating an account, you agree to receive necessary operational communications relating to Orders, payments, security, policies and account activity.

Marketing communications remain subject to applicable consent and opt-out requirements.

1. USER-SUBMITTED CONTENT

You retain ownership of information and content you submit.

You grant SoChillPanel a limited, non-exclusive right to use, process and transmit submitted information only as reasonably necessary to:

• Process and fulfil Orders • Provide support • Prevent fraud and abuse • Operate and improve the Services • Comply with applicable law • Enforce these Terms

You confirm that you have the legal right to submit and use any account, page, post, video, channel, website or other content associated with an Order.

1. INTELLECTUAL PROPERTY

Unless otherwise stated, the website, dashboard, branding, text, graphics, software, designs and other original SoChillPanel materials are owned by or licensed to SoChillPanel and are protected by applicable intellectual-property laws.

You may not, without written permission:

• Copy or republish protected website content • Sell or sublicense SoChillPanel materials • Reproduce or redistribute substantial parts of the website • Use SoChillPanel branding in a misleading manner • Reverse engineer protected systems or software • Create frames or mirrored versions of the website

Third-party names, logos and trademarks remain the property of their respective owners.

1. PRIVACY AND COOKIES

Our collection and use of personal data are governed by our Privacy Policy.

By using SoChillPanel, you acknowledge the data practices described in that policy.

Essential cookies may be used to operate account sessions, security features and website functionality. Non-essential cookies will be handled according to applicable consent requirements.

1. ACCOUNT SUSPENSION AND TERMINATION

We may restrict, suspend or terminate an account where reasonably necessary because of:

• A material violation of these Terms • Fraud or unauthorized payment activity • Unlawful or abusive conduct • Security risks • Chargeback or refund abuse • Affiliate manipulation • Harm to SoChillPanel, its users or service providers • Legal, regulatory or payment-provider requirements

Where reasonable, we will provide notice or an opportunity to explain the issue. Immediate action may be taken where necessary to prevent fraud, security harm or unlawful activity.

During an investigation, Account Balances may be temporarily restricted.

Treatment of any remaining eligible balance will depend on the source of the funds, the reason for suspension, unresolved Orders, payment disputes and applicable law.

Promotional, bonus, fraudulently obtained or non-cash credits may be removed.

You may appeal an account decision by contacting legal@sochillpanel.com.

1. SERVICE MODIFICATIONS AND AVAILABILITY

We may:

• Add, modify or remove Services • Change suppliers or technical systems • Perform maintenance • Apply reasonable usage or security limits • Temporarily suspend unavailable Services • Update service descriptions and prices

We do not guarantee uninterrupted access to every feature or Service.

Where a change prevents fulfilment of a confirmed Order, the affected Order will be handled under our Delivery Policy and Payment and Refund Policy.

1. DISCLAIMER OF WARRANTIES

Except for express commitments in a service description and rights that cannot legally be excluded, SoChillPanel is provided on an “as available” basis.

We do not guarantee:

• Uninterrupted or error-free operation • Permanent availability of any Service • Specific sales, revenue or marketing outcomes • Organic growth or audience interaction • Monetization, verification or ranking • Permanent retention unless covered by an active refill guarantee • Protection from Third-Party Platform moderation or enforcement

1. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, SoChillPanel will not be liable for indirect, incidental, special, consequential or punitive losses, including loss of:

• Revenue or profit • Business opportunities • Data • Reputation • Audience reach • Monetization • Third-party accounts or content

This limitation applies to losses resulting from:

• Use or inability to use the Services • Third-Party Platform actions • Algorithm or policy changes • Customer-submitted errors • Unauthorized account access caused by a customer’s failure to protect credentials • Events outside our reasonable control

Where liability cannot be excluded but may lawfully be limited, SoChillPanel’s aggregate liability arising from a specific Order will not exceed the amount paid for the affected Order.

Nothing in these Terms excludes liability for fraud, wilful misconduct or any liability or consumer remedy that cannot lawfully be excluded or limited.

1. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold SoChillPanel harmless from third-party claims, damages and reasonable costs resulting from:

• Your unlawful use of the Services • Content you were not authorized to submit or promote • Your infringement of third-party rights • Fraudulent or abusive conduct • A material violation of these Terms

This obligation does not apply to the extent a claim results from SoChillPanel’s own unlawful conduct or breach.

1. EVENTS OUTSIDE OUR CONTROL

SoChillPanel will not be responsible for delays or failures caused by events outside our reasonable control, including:

• Internet or hosting failures • Cyberattacks • Third-party platform outages or changes • Supplier interruptions • Payment-network failures • Governmental actions • Natural disasters • War, civil disturbance or widespread emergencies

We will take reasonable steps to reduce the effect of such events where practical.

1. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai.

Before initiating formal proceedings, you and SoChillPanel agree to make a reasonable good-faith effort to resolve the dispute directly.

Send legal notices and unresolved complaints to legal@sochillpanel.com with all relevant information.

If a dispute cannot be resolved informally, it will be submitted to the competent courts of Dubai, United Arab Emirates, except where mandatory consumer law grants you the right to bring a claim elsewhere.

Nothing in this section prevents either party from seeking urgent legal protection or exercising a right that cannot lawfully be restricted.

1. CHANGES TO THESE TERMS

We may update these Terms to reflect changes to:

• The Services • Payment or delivery processes • Security requirements • Applicable laws • Business practices

The revised Terms will be posted with an updated “Last updated” date.

Where required by law, we will provide additional notice of material changes.

Changes will not retroactively remove rights relating to Orders already completed.

Continued use of SoChillPanel after revised Terms become effective constitutes acceptance to the extent permitted by law.

1. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be interpreted or modified only to the minimum extent necessary to make it lawful and enforceable.

1. NO WAIVER

If SoChillPanel does not immediately enforce a provision of these Terms, that does not waive the right to enforce it later.

A waiver is effective only when expressly confirmed in writing.

1. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our written permission.

SoChillPanel may transfer its rights and obligations as part of a merger, restructuring, sale of business or similar transaction, subject to applicable law.

1. ENTIRE AGREEMENT AND POLICY PRIORITY

These Terms, our incorporated policies and the applicable service description form the entire agreement concerning your use of SoChillPanel.

If documents conflict:

• The service description controls service-specific quantities, speeds and refill conditions • The Payment and Refund Policy controls refund and payment procedures • The Delivery Policy controls fulfilment procedures • The Privacy Policy controls personal-data handling • These Terms control all other matters

Mandatory law takes priority over any conflicting contractual provision.
